Terms of Use iFEEL SYSTEMS

Welcome to the ifeel systems platform!

Before accepting the Agreement, please read it carefully and ensure that you understand all its terms, in particular the provisions on limitations and exclusions. Limitations and exclusions are indicated in bold or otherwise to draw your attention. If you have any questions regarding the terms of the agreement, please contact the appropriate department ofifeel systems . You are not permitted to use the Service until you have read and accepted all the terms of the Agreement, as well as related agreements, rules, etc. If you click the Accept and submit Agreement button (see below for exact wording). on the registration page) and complete the registration process or use the service in any other way, you hereby confirm that you have read and accepted the restrictions stipulated by the Agreement and the aforementioned rules. This service agreement ("Agreement") is between you and ifeel systems (" ifeel systems "). It includes, among other things,ifeel systems's privacy policy and other documents. If changes are made to these documents, ifeel systems will announce them on its official website without further notice. Upon such announcement, the agreement and amended rules automatically become part of the agreement without further notice requiring your consent. If you object to such changes, please stop using theifeel systems Service; By continuing to use the Service, you confirm that you do not object to the amended rules and that you agree to abide by them.

I. Terms and definitions

1.1. "Licensed Software" means the software system developed by ifeel systems , available for download from the Platform and for installation and use on mobile terminals with said system.

1.2. "Services " means the services provided to you by ifeel systems. You may use these services on a mobile device with licensed software.

II. Service

2.1. ifeel systems offers you intelligent asset management services, through which you have access to a smart terminal based on its provider'sifeel systems cloud platform and intelligent platforms via theifeel systems management tool. Control and you can organize communication between smart devices. The service includes intelligent equipment control, communication between objects, analysis report, etc. These functions can be optimized and modified according to changing user needs or decisions of the service provider, and the service itself may be temporarily unavailable due to planned and unplanned technical work. .

III. Scope of Services

3.1. ifeel systems grants you the right to use a derivative product of this software.

3.2. You may not license, sell, rent, transfer, publish the Product in any form or use it for any other commercial purpose.

3.3. Due to limitations associated with adapting the Software to Terminals and Platforms, you may only use the Licensed Software on an authorized system platform and Terminal; Installing the licensed software on other hardware may damage your hardware or software.

3.4. You acknowledge that the Licensed Software may only be used for non-profit purposes. If commercial use is required, you must first obtain appropriate written consent and authorization toifeel systems .

3.5. ifeel systems may, from time to time, modify, update or transfer to third parties the Licensed Software or its features, or add new features or services to the Licensed Software system. If the implementation of the aforementioned new features or services is not accompanied by the signing of separate agreements, you have the right to use these features and services, which will also be subject to the Agreement.

3.6. You are responsible for the accuracy, validity, integrity and legality of the data entered, as well as the legality of the method of obtaining, and the regular backup of data and information. You assume all risk of damage and loss of such information.

3.7. You agree to keep your account number and password correctly. In the event of a breach of your account security (including, but not limited to, the disclosure of a user password), you agree to promptly notify ifeel systems , which will assist you in taking appropriate action. Otherwise, all activities performed on behalf of your account are considered your activities and you are solely responsible for them**.

IV. Third Party

4.1. You acknowledge that theifeel systems Service is based on software or services provided by a third party. This service is provided to assist the user and the legal permission of the third party has been obtained.

4.2. The Product includes certain information and services provided by a third party. ifeel systemsdoes not control and is not responsible for the information and services provided by the third party.

4.3. You acknowledge that ifeel systems cannot guarantee that the Licensed Software will always use or contain these Services or that other Software provided by the same third party will be used in the future. The Company may also use similar services provided by another third party. If the above software or services are used, they are subject to the Agreement.

V. Rules of use of the service

5.1. You agree to use the Licensed Software as standard. The following actions are a violation of the Terms of Use :

1) upload or distribute computer viruses, worms, malicious code or software for the purpose of intentionally damaging or altering computer systems or data;

2) unauthorized collection of information or data from other users, such as email addresses, etc. ;

3) use the proceeds for criminal purposes by using automated means, overloading the server, interfering with or otherwise damaging the web server and network connections;

4) an attempt to gain unauthorized access to server data or transmitted product data;

5) interfere with the use of the Product by other users or interfere with the use of the Product by other users.

5.2. You understand and agree that :

1) ifeel systems establishes whether or not you are involved in violations of the above rules and, based on the conclusion made, decides to temporarily block or cancel your license to use, or to impose other restrictions provided for in the agreements;

2) ifeel systems will immediately delete the information you have downloaded while using the Licensed Software if such information is contrary to legal requirements, infringes the legal rights of third parties or violates the Agreement ;

3) In the event of damage caused to a third party as a result of your breach of the Terms of Use, you will be solely responsible under the law and will ifeel systems hold harmless from any liability for any loss or additional costs caused by such breaches. Otherwise, ifeel systems is entitled to claim compensation ;

4) if ifeel systems suffers a loss due to your breach of applicable law or the Agreement, you agree to indemnify ifeel systems for any loss and/or expense incurred as a result of such breach.

VI. Rules concerning the content of information

6.1. You agree not to take any action that violates the law or to engage in unacceptable behavior when using the Service. These actions and behaviors include, but are not limited to :

6.1.1. upload, transmit or distribute information that :

(1) is contrary to the fundamental principles of the Constitution;

2) constitutes a threat to state security, contributes to the disclosure of state secrets, undermines state power and destroys state integrity ;

(3) harms national reputation and public interests;

4) incites hatred and discrimination based on nationality and undermines the cohesion of the nation;

5) is contrary to state policy regarding religion and promotes heretical teachings and feudal superstitions;

6) spreads rumours, undermines public order and social stability;

7) encourages obscene behaviour, pornography, gambling, violence, murder and terrorism or incites to commit crimes ;

8) contains insults or slander against third parties and violates their legal rights and interests;

9) contains falsified, false, damaging information and threats ; violates the privacy rights of third parties; contains harassing, infringing or defamatory, offensive, obscene or morally objectionable material;

10) includes other items the distribution of which is restricted or prohibited by applicable laws, regulations, rules, regulations and other legal standards.

VII. Privacy Policy and Data

7.1. ifeel systems is committed to protecting your personal data. She developed the privacy policy for theifeel systems platform covering issues such as intellectual property rights and their protection, collection, use, transfer, storage, protection, etc. of your information. It is assumed that you have carefully read the privacy policy of theifeel systems platform.

VIII. Exception Provisions

8.1. Unless otherwise required by law and regulation, ifeel systems will take all reasonable steps to ensure the security, legality, accuracy and reliability of the Licensed Software and associated technologies and information, but ifeel systems cannot guarantee this due to limitations inherent in currently available software technologies.

8.2. You acknowledge that ifeel systems assumes no liability for special or consequential damages caused by force majeure and failure of third parties.

8.3. You are responsible for personal injury, as well as accidental or consequential injury resulting from any of the following: 1) unauthorized use of licensed software or modification of your data by a third party; 2) expenses and losses incurred as a result of using the Licensed Software; 3) your misunderstanding of the Licensed Software; 4) other damages related to the licensed software and caused by causes beyond the control of ifeel systems .

8.4. Any other licensed software, i.e. derivative software, which has not been developed and published by ifeel systems , or which ifeel systems has not given permission to develop and publish, is illegal software. Downloading, installing and using such software may involve unforeseeable risks. Company ifeel systems is released from any liability in the event of disputes related to such software, and has the right to temporarily block or revoke the license to use and/or terminate all other services.

8.5. You are informed that the ifeel systems platform and the intelligent platforms of its provider is an Internet service whose quality may be affected by connection instability factors. Despite the fact that ifeel systems has taken security measures, the provision of the service may be suspended or terminated, delayed, deteriorated due to the restriction or impossibility of its use due to internal failures of the Internet and electronic communications, as well as factors beyond the control of the parties to the Agreement (including, but not limited to, fires, floods, acts of terrorism, epidemics, natural disasters, uprisings, viral terminal infections, hacker attacks, network and endpoint failures). You hereby acknowledge the above risks and agree that ifeel systems shall be released from any liability in situations where the listed risks affect the normal operation of the Services.

IX. Termination of Agreement. Breach of the Agreement

9.1. You acknowledge that when usingifeel systems 's services, you must use the Licensed Software to the extent strictly permitted, as well as respect the intellectual property rights in the Software and its content and fulfill the obligations stipulated by the Agreement. If you commit a material breach of the Agreement, ifeel systems will revoke your license to use.

9.2. Your use of the Software is subject to support services provided by ifeel systems 's affiliates. Violation of terms, agreements, rules, notification requirements and other relevant regulations of ifeel systems and its affiliates may disrupt normal use of the Licensed Software, in which case ifeel systems shall have the right to revoke the license to use or take steps to limit your license or other rights and interests controlled by ifeel systems as specified in the Agreement, including in the form of a temporary block or revocation of your license to use.

9.3. If you breach the agreement or other agreements with ifeel systems , it has the right to inform its affiliates and ask them to take steps to limit your rights and interests, including suspension or termination of all or part of your services, and legally report your breach of agreement on websites they operate or over which they have effective control.

9.4. You download the Licensed Software from the Download Platform and agree to comply with the Licensed Software, the System Platform and the rules and limitations of use of the manufacturer of the terminal associated with the Licensed Software. If the aforementioned third party confirms that you have violated the agreement, and that this requires action on the part of ifeel systems , it may revoke your license to use at the request of that third party.

9.5. Upon termination of the User License, you agree to cease using the Licensed Software and destroy all copies thereof.

9.6. You shall indemnify ifeel systems and other users for all losses suffered by them as a result of your breach of the terms of the Agreement.

X. Return Policy

In accordance with articles L121-20 and following of the French Consumer Code for distance sales, the Customer has a withdrawal period of 14 working days from the receipt of their order. The return of products in their original good condition is required for a full refund. Any product damaged or showing signs of excessive use may be subject to a depreciation or refusal.

The return of goods is at the Customer's expense, who is encouraged to insure the value of the merchandise during shipment. The product must be carefully packaged to avoid any transport-related damage. Returns to relay points or requiring the presence of an iFEEL SYSTEMS collaborator will be refused.

The refund will be processed within 14 days after receiving the package.

XI. Applicable law and severability

11.1. Issues of validity, interpretation, modification, performance of the Agreement and the examination of disputes relating thereto shall be governed by the legislation of the Russian Federation. In the absence of relevant laws and regulations, the Parties shall refer to generally accepted international commercial and/or industrial practices.

11.2. A dispute arising out of or in connection with the Agreement may be settled by good faith negotiation between you and ifeel systems or referred to theifeel systems County People's Court in which the Agreement was signed.

11.3. If any provision of the Agreement is found to be invalid by a people's court, this shall not affect the validity of the remaining provisions or parts thereof, and you and ifeel systems shall comply in good faith with the valid terms.
